Section 1

About Amal.care and These Terms

Amal.care is an AI-powered student wellness platform developed and operated by Amal Care Ltd. ("Amal.care," "we," "our," or "us"). The Services are made available exclusively to accredited universities and academic institutions ("Institutions") and their enrolled adult students ("Student Users") through formal institutional agreements.

These Terms of Service ("Terms") govern the access and use of the Amal.care web platform, AI wellness companion, institutional administrator portal, and all associated features and functionality (collectively, the "Services"). These Terms apply to Institutions entering into agreements with Amal.care, and to Student Users who access the Services through their Institution's authentication system.

These Terms should be read together with our Privacy Policy, which explains how we collect and handle personal information. In the event of any conflict between these Terms and a separate written institutional agreement, the terms of that institutional agreement shall prevail.

Section 2

Eligibility and Access

2.1 Institutional Eligibility

The Services are available to accredited universities and academic institutions operating within the MENA region. Access is granted following execution of a formal institutional agreement with Amal.care. Institutions are responsible for ensuring that their access to and deployment of the Services complies with all applicable laws in their jurisdiction.

2.2 Student User Eligibility

Student Users must be adults (18 years of age or older, or the applicable age of majority in their jurisdiction) who are actively enrolled at a partner Institution. Student access is provided exclusively through the Institution's Single Sign-On (SSO) system using existing university credentials. No separate Amal.care account creation is required or permitted.

2.3 Nature of AI Interaction

The Services provide structured wellness coaching, psychoeducational content, resilience skill-building, and goal-setting support. They are designed to complement — not replace — professional mental health care.

Section 3

Institutional Responsibilities

By entering into an agreement with Amal.care, the Institution accepts the following responsibilities:

  • Ensuring that Student Users are informed of the nature of the Services, including the fact that they are interacting with AI
  • Designating at least one on-call staff member or counsellor to receive and respond to safety escalation notifications generated by the platform
  • Maintaining accurate and current contact information for designated campus emergency personnel within the administrator portal
  • Restricting access to eligible adult students only, in accordance with the Institution's own enrolment and access policies
  • Cooperating with Amal.care in the implementation of SSO authentication and any required technical integration
  • Ensuring that student communications regarding the platform comply with the Institution's own data governance and student affairs policies
Section 4

Permitted and Prohibited Use

4.1 Permitted Use

The Services are licensed for use solely for the personal, educational, and non-commercial wellness support of enrolled adult students, and for the institutional administration purposes described in the institutional agreement. All use must comply with applicable law.

4.2 Prohibited Conduct

The following conduct is expressly prohibited and may result in immediate suspension or termination of access:

  • Attempting to bypass, manipulate, or circumvent the AI safety guardrails or crisis detection systems
  • Deliberately attempting to cause the AI companion to generate harmful, abusive, or clinically inappropriate responses
  • Uploading, transmitting, or attempting to transmit images, videos, or audio files of any kind (all such uploads are structurally blocked)
  • Impersonating another student, staff member, or any other individual within the platform
  • Using the Services in any manner that violates applicable law, university policy, or the rights of any third party
  • Attempting to extract, reverse-engineer, or replicate the AI training data, models, or system architecture
  • Submitting false safety reports or deliberately triggering crisis notifications for testing or deceptive purposes
  • Using automated tools, bots, or scripts to access or interact with the Services
  • Sharing access credentials or facilitating access by individuals who are not eligible Student Users
  • Using the Services to transmit content that promotes violence, self-harm, harassment, or discrimination of any kind
Section 5

Crisis Safety Protocols

The Amal.care platform incorporates automated safety detection systems designed to identify disclosures that may indicate risk to a student's wellbeing ("Severe Issues"). These include, but are not limited to, expressions of suicidal ideation, self-harm, or risk of harm to others.

When a Severe Issue is detected or disclosed:

  • The AI companion will immediately suspend standard conversational functions
  • Regional emergency contact numbers will be displayed to the student
  • An automated notification will be sent to the Institution's designated on-call campus staff

This system is designed as a supportive layer within a broader campus safety infrastructure. It does not replace the need for trained human professionals. The AI system may not detect every Severe Issue and may, on occasion, generate false positive alerts. Amal.care does not guarantee the detection of any particular disclosure or the timeliness of any campus staff response.

Institutions are solely responsible for ensuring that designated personnel are available and equipped to respond to safety notifications. Amal.care's liability in connection with safety escalations is limited to the functionality described in these Terms and the institutional agreement.

Section 6

Intellectual Property

All intellectual property rights in the Services — including the platform architecture, AI systems, software, content, design, and trademarks — are owned exclusively by Amal Care Ltd. or its licensors. Nothing in these Terms transfers any ownership rights to Institutions or Student Users.

Institutions and Student Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for the purposes described in these Terms and the applicable institutional agreement. This licence does not include the right to sublicense, reproduce, modify, or distribute any element of the Services.

Content generated by Student Users through their interactions with the Services ("User Content") remains the property of the Student User, subject to any rights held by their Institution under applicable education data laws. Amal.care does not claim ownership of User Content. We process User Content solely to deliver the Services and to operate our safety protocols, and we do not use User Content to train AI models in identifiable form.

Section 7

Data Protection and Privacy

Our collection, processing, and storage of personal information in connection with the Services is governed by our Privacy Policy, which forms part of these Terms. Key commitments include:

  • All data is hosted on AWS infrastructure within the GCC region (UAE and Bahrain)
  • Personally identifiable information is stripped from all content before AI processing
  • We do not sell, share, or use personal data for advertising purposes
  • Student data is deleted within 60 days of institutional agreement termination

Institutions are reminded that they bear independent obligations as data controllers under applicable GCC data protection law and should ensure their own compliance in addition to relying on Amal.care's commitments.

Our full Privacy Policy is available at amal.care/privacy and forms part of these Terms.
Section 8

Service Availability and Modifications

We aim to maintain the Services with high availability, but we do not guarantee uninterrupted access. Planned and unplanned maintenance, infrastructure issues, or circumstances beyond our reasonable control may result in temporary unavailability.

We reserve the right to modify, update, or discontinue any feature or aspect of the Services at any time. Where modifications materially affect the Services provided under an institutional agreement, we will provide reasonable prior notice to the Institution.

We also reserve the right to update these Terms at any time. Material changes will be communicated to Institutions in writing. Continued use of the Services following notification of updated Terms constitutes acceptance of the revised Terms.

Section 9

Disclaimers and Limitation of Liability

9.1 No Clinical Services

9.2 General Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMAL.CARE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM HARMFUL COMPONENTS.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AMAL.CARE'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY THE INSTITUTION TO AMAL.CARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL AMAL.CARE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES.

The above limitations apply to the fullest extent permitted by applicable law. Some jurisdictions do not permit exclusion of certain warranties or limitation of liability for personal injury — in such cases, the above exclusions and limitations apply to the extent permitted.

Section 10

Termination

Either party may terminate access to the Services in accordance with the terms of the applicable institutional agreement. In the absence of a specific agreement, either party may terminate upon thirty (30) days' written notice to the other.

Amal.care reserves the right to suspend or terminate access to the Services immediately and without prior notice where:

  • The Institution or any Student User materially breaches these Terms and fails to remedy the breach within 7 days of written notice
  • Continued access poses a risk to the safety, security, or integrity of the Services or other users
  • Required by applicable law or regulatory authority

Upon termination, the Institution's access and all associated Student User access will be revoked. Student data will be deleted in accordance with our data retention policy and the Privacy Policy.

Section 11

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction agreed in the applicable institutional agreement. In the absence of a specific governing law clause, the laws of the UAE (including applicable federal legislation) shall apply.

In the event of a dispute arising out of or in connection with these Terms, the parties agree to first attempt resolution through good-faith negotiation. Either party may initiate this process by providing written notice of the dispute to the other party. If the dispute is not resolved within 30 days of that notice, it may be referred to arbitration or competent courts as agreed in the institutional agreement, or as required by applicable law.

Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a competent court where necessary to prevent irreparable harm.

Section 12

General Provisions

These Terms, together with the Privacy Policy and any applicable institutional agreement, constitute the entire agreement between the parties in relation to the Services and supersede all prior representations, agreements, and understandings.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Amal.care may assign its rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or reorganisation. Institutions may not assign their rights or obligations under these Terms without Amal.care's prior written consent.

Failure by Amal.care to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future.
